A Branch Is Not Eligible For An Import License For Chemicals Subject To Special Control

On 25 February 2026, the Vietnam Chemicals Agency issued Official Letter No. 335/HC-QLHC responding to questions regarding the dossier for granting an import license for chemicals subject to special control to a branch.

Accordingly, the Vietnam Chemicals Agency affirms that a branch of an enterprise is not eligible to be considered for a license to export or import chemicals subject to special control, because a branch does not have independent legal-entity status and is not an independent legal subject.

The cited provisions include:

  • Under the 2020 Law on Enterprises, a branch is merely a dependent unit of the enterprise, tasked with performing part or all of the enterprise’s functions (including authorized representation).
  • Under the 2015 Civil Code: a branch is a dependent unit of a legal entity and is not itself a legal entity.
